1. Scope of Service & Trademark Notice

Definition: Onyxio™ provides a specialized, multi-tenant Document Archival and Retrieval System (DARS) featuring our proprietary "Seal Document" architecture for cryptographic integrity and long-term retention.

Trademark Ownership: Onyxio® and Onyxio Cloud™ are registered trademarks and proprietary assets of Onyxio Cloud Private Limited. All rights, title, and interest in and to the platform branding, trademarks, service marks, and logos remain exclusively with Onyxio Quantum Systems Private Limited.

License Grant: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the platform exclusively for your internal enterprise operations and compliance workflows.

2. Authentication and Access Control

Identity Providers (SSO): Access to the Onyxio platform may be integrated with approved third-party Identity Providers, including Google Workspace and Microsoft Entra ID.

Account Security: You are strictly responsible for maintaining the confidentiality of your administrative credentials and Single Sign-On configurations. Onyxio assumes no liability for data compromise, unauthorized access, or regulatory breaches arising from vulnerabilities within your third-party identity accounts or local network environments.

3. Acceptable Use Policy

Prohibited Actions: The platform is engineered specifically for structural archival and retrieval. Using the infrastructure for active file hosting, public content delivery networks (CDNs), or unauthorized load-testing is strictly prohibited.

Compliance: You agree not to upload, seal, or store any data that is illegal, infringes upon third-party intellectual property, or contains malicious code designed to disrupt the hybrid storage environment.

4. Data Ownership & Sovereignty

Customer Ownership: You retain full legal ownership, control, and responsibility for all data uploaded to the Onyxio platform.

Data Residency: All digital personal data and encrypted archives are processed and stored strictly within the borders of India (ap-south-1) in accordance with our data sovereignty commitment.

5. DPDP Act & Data Privacy Compliance

• Data Roles: Onyxio acts exclusively as the "Data Processor," and you act as the "Data Fiduciary."
• Purpose Limitation: We process data strictly for archival, integrity-sealing, and retrieval purposes as instructed by your configured retention policies.
• Security Safeguards: We employ industry-standard encryption at rest (AES-256) and in transit (TLS 1.3) to prevent unauthorized access.
• Rights Management: We provide the necessary technical mechanisms for you to fulfill Data Principal requests regarding access, correction, and secure erasure, subject to mandatory retention holds.

6. Subscription, Fees, and Auto-Renewal

Transparency: Pricing is based on a fixed subscription model determined by your storage volume and retrieval tier. Overages for excessive retrieval requests are billed according to your selected plan.

Renewal: Subscriptions renew automatically at the end of the billing cycle unless canceled by an authorized administrator at least 30 days prior to the renewal date.

7. Intellectual Property

Platform IP: The "Onyxio Kernel," user interface designs, and all proprietary cryptographic architecture remain the exclusive intellectual property of Onyxio Cloud Pvt Limited.

Prohibitions: You may not reverse engineer, decompile, copy, extract, or authorize the unauthorized distribution of our software, trademarks, or underlying code.

8. Limitation of Liability & Indemnification

Liability Cap: To the maximum extent permitted by applicable law, Onyxio's total financial liability arising from or related to these Terms is strictly limited to the total fees paid by you in the twelve (12) months immediately preceding the event giving rise to the claim.

Indemnity: You agree to indemnify and hold Onyxio Quantum Systems Pvt Limited harmless against any third-party claims, regulatory fines, or damages arising from your misuse of the platform, violation of these Terms, or the processing of illegal or non-compliant data.

9. Governing Law and Jurisdiction

These Terms and your use of the Onyxio platform shall be governed by and construed in accordance with the laws of India. Any disputes, controversies, or claims arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts located in New Delhi, India.

10. Termination and Offboarding

Either party may terminate this agreement under specified conditions, including material breach. Upon termination or expiration of your subscription, Onyxio will facilitate a structured, secure export of your data. Following the conclusion of the offboarding phase, all data will be permanently purged in compliance with our data erasure protocols.

Note: These terms govern the use of the Onyxio DARS platform provided by Onyxio Cloud Pvt Limited. We strongly recommend having these reviewed by your corporate legal counsel to ensure alignment with your specific organizational operations and regulatory requirements.
